1. About These Terms

These Terms of Service ("Terms") govern your access to and use of the official XNDO online store, including all purchases made through the store.

In these Terms, "XNDO", "we", "us" and "our" refer to XandoGlobe GmbH. "Customer", "you" and "your" refer to the person accessing the website or placing an order.

By accessing the website, creating an account or placing an order, you agree to these Terms and to our Privacy Policy, Returns & Refunds Policy and Shipping Policy.

If you do not agree with these Terms, you must not use the website or place an order.

Separate written terms may apply to wholesale, distributor, retailer or other business-to-business transactions. Where a separate written agreement exists, that agreement takes priority.

2. Eligibility

To place an order, you must:

  • Be at least 18 years old or otherwise legally capable of entering into a binding contract.
  • Provide accurate, complete and current information.
  • Be authorised to use the selected payment method.
  • Use the website and products only for lawful purposes.

If you place an order on behalf of a company or another legal entity, you confirm that you have authority to bind that entity to these Terms.

3. Customer Accounts

You may be able to create a customer account through the website.

You are responsible for:

  • Providing accurate account information.
  • Keeping your login credentials confidential.
  • Restricting unauthorised access to your account.
  • Informing us promptly if you suspect unauthorised use.

We may suspend or close an account if we reasonably believe it is being used fraudulently, unlawfully or in breach of these Terms.

The website and its contents are provided for personal shopping, product information and other lawful purposes.

You must not:

  • Use the website for fraudulent, unlawful or misleading activities.
  • Submit false customer, payment, delivery or account information.
  • Attempt to gain unauthorised access to the website or another customer's account.
  • Introduce viruses, malicious code or other harmful technologies.
  • Interfere with the security or operation of the website.
  • Scrape, crawl, copy or extract website data using automated systems without permission.
  • Resell, reproduce or commercially exploit website content without written authorisation.
  • Use XNDO trademarks, photographs, designs or product descriptions without permission.
  • Submit unlawful, defamatory, abusive or infringing content.
  • Place orders using automated purchasing systems or for unauthorised resale.

We may restrict access, cancel affected orders or take other reasonable action where these rules are violated.

5. Products and Product Information

We make reasonable efforts to ensure that product descriptions, images, dimensions, materials, colours and compatibility information are accurate.

However:

  • Colours may appear differently depending on the screen, lighting and production batch.
  • Dimensions, weight and surface finish may be subject to reasonable manufacturing tolerances.
  • Bio-based composite materials may display minor variations in colour, texture or finish.
  • Packaging may change without materially affecting the product.
  • Product images may include renderings, enlarged details or styling elements for presentation purposes.

Only the items expressly listed under "Package Contents" on the product page are included in the purchase.

Unless expressly stated otherwise, watches, watch heads, movements, dials, crowns, tools, jewellery and decorative props shown in product images are for illustration only and are not included.

6. Compatibility and Third-Party Brands

XNDO products may be designed to fit selected watches or components produced by third parties.

Customers are responsible for:

  • Selecting the correct watch model, generation and size.
  • Reviewing all compatibility information before ordering.
  • Confirming compatibility before removing protective films or attempting installation.
  • Ensuring that the watch has not been modified in a way that affects compatibility.

References to third-party brands, product names or model numbers are used only to identify compatibility.

Unless expressly stated otherwise, XNDO and XandoGlobe GmbH are independent from, and are not affiliated with, authorised by, endorsed by or sponsored by any third-party watch manufacturer.

All third-party trademarks, product names and logos remain the property of their respective owners.

Compatibility cannot be guaranteed where a watch:

  • Has been modified or repaired using non-standard components.
  • Contains aftermarket parts.
  • Has dimensional variations or previous damage.
  • Is a counterfeit or imitation product.
  • Is different from the model selected when ordering.

7. Installation and Use

Customers must inspect the product and verify compatibility before installation.

Installation must be performed carefully using appropriate tools and methods. If you are unsure, we recommend using a professional watch technician.

XNDO is not responsible for damage caused by:

  • Forced or incorrect installation.
  • Use of unsuitable tools.
  • Installing the wrong product model or size.
  • Failure to follow installation or care instructions.
  • Modification of the product.
  • Damage caused during bracelet adjustment or spring-bar installation.
  • Improper storage, cleaning or maintenance.

XNDO does not guarantee the water resistance of a third-party watch or a completed watch assembly unless expressly confirmed in writing.

Customers should also check whether installing a third-party accessory could affect any warranty offered by the original watch manufacturer.

These provisions do not exclude liability for damage caused by a confirmed defect in an XNDO product where such liability cannot legally be excluded.

8. Ordering Process

Products displayed on the website constitute an invitation to place an order and not a legally binding offer by XNDO.

Before submitting an order, you will have the opportunity to:

  • Review the selected products.
  • Add or remove items.
  • Correct billing and delivery information.
  • Review available delivery and payment methods.
  • Review the total price.

By selecting the final purchase or payment button, you submit a binding offer to purchase the products in your cart.

After receiving your order, we will send an automatic acknowledgement email. This confirms that we received your order but does not necessarily mean that we have accepted it.

A binding sales contract is formed when we:

  • Send a shipping confirmation; or
  • Dispatch the product,

whichever occurs first.

A contract is formed only for the products included in the shipping confirmation or dispatched shipment.

9. Order Acceptance and Cancellation by XNDO

We may refuse, hold or cancel an order before dispatch for reasonable grounds, including:

  • The product is unavailable.
  • Payment cannot be authorised.
  • The customer or payment information cannot be verified.
  • Fraud or unauthorised activity is suspected.
  • An obvious pricing, stock or product-information error occurred.
  • Shipping to the address is unavailable or restricted.
  • The order appears to be intended for unauthorised commercial resale.
  • The order would violate applicable sanctions, export controls or other laws.
  • The customer has breached these Terms.

If we cancel an order after receiving payment, the corresponding amount will be refunded to the original payment method.

10. Customer Order Changes and Cancellations

You may contact us to request an order change or cancellation before the order has been processed for shipment.

We cannot guarantee that an order can be changed or cancelled after submission. Once an order has entered fulfilment or has been shipped, it must be handled under our Returns & Refunds Policy.

Cancelling or changing personalised or specially manufactured products may not be possible once production has started.

11. Prices, Taxes and Import Charges

Prices are displayed in the currency selected or shown on the website.

The checkout will show:

  • Product price.
  • Applicable VAT or sales tax where collected.
  • Shipping charges.
  • Any other charges collected by XNDO.
  • The total amount payable.

For deliveries outside Switzerland, the recipient may be responsible for import VAT, customs duties, brokerage fees and other local charges unless the checkout expressly states that these amounts are included.

Such charges are determined by local authorities and delivery providers and are not controlled by XNDO.

Customers are responsible for providing accurate customs and delivery information and for complying with the import laws of the destination country.

12. Pricing and Website Errors

Although we make reasonable efforts to ensure accuracy, pricing, promotional, stock or product-information errors may occur.

If an obvious error is identified before the contract is formed, we may:

  • Correct the information.
  • Contact you for confirmation.
  • Reject or cancel the affected order.

We are not required to supply a product at an obviously incorrect price that a reasonable customer should have recognised as an error.

If payment has already been collected for a cancelled order, it will be refunded.

13. Payment

Available payment methods are shown during checkout and may be provided by Shopify or independent payment providers.

By submitting payment information, you confirm that:

  • The information is accurate.
  • You are authorised to use the payment method.
  • The payment provider may process and verify the transaction.

Payment may be subject to authorisation, fraud screening and the payment provider's own terms.

We are not responsible for delays or non-acceptance caused by a payment provider refusing or delaying authorisation.

Products remain the property of XNDO until full payment has been received.

14. Promotions and Discount Codes

Promotions and discount codes may be subject to additional terms communicated with the relevant offer.

Unless otherwise stated:

  • Discount codes are valid only during the stated period.
  • Only one code may be used per order.
  • Codes cannot be exchanged for cash.
  • Codes cannot be applied after an order has been completed.
  • Promotions cannot necessarily be combined.
  • Certain products may be excluded.
  • Discounts are not refunded separately from the associated purchase.

We may cancel or refuse a promotion where it has been misused, duplicated, obtained fraudulently or applied because of a technical error.

15. Shipping and Delivery

Delivery destinations, methods, estimated delivery times and charges are described in our Shipping Policy or displayed at checkout.

Delivery times are estimates unless expressly agreed otherwise. Delays may occur due to customs, carriers, weather, public authorities, high order volumes or other circumstances outside our reasonable control.

Customers are responsible for providing a complete and accurate delivery address. We cannot guarantee that an address can be changed after the order has been processed.

Orders containing several products may be delivered in separate shipments without additional shipping charges unless agreed otherwise.

For consumer orders, risk of loss or damage generally passes to the customer when the customer or a person designated by the customer physically receives the product, subject to applicable law.

16. Returns and Refunds

Eligible products may be returned in accordance with our Returns & Refunds Policy.

Customers may notify us of a return within 14 calendar days after receiving an eligible product, unless a longer mandatory period applies.

Products should be handled only as reasonably necessary to inspect their nature, characteristics and compatibility. Installation, wear, removal of protective films or other handling may reduce the product's value and may result in a proportionate deduction where permitted by law.

Personalised or specially manufactured products may be excluded from change-of-mind returns where permitted by law.

Nothing in these Terms restricts mandatory withdrawal, refund or consumer rights.

17. Limited Product Warranty

XNDO products are covered by a 24-month limited warranty from the date of delivery against manufacturing defects in materials and workmanship under normal and intended use.

This warranty does not cover:

  • Normal wear and ageing.
  • Cosmetic scratches, scuffs or abrasion resulting from use.
  • Damage caused by impact, dropping, crushing or accident.
  • Damage caused by improper or forced installation.
  • Damage caused while resizing or modifying the product.
  • Use with an incompatible, modified or counterfeit watch.
  • Misuse, negligence or failure to follow care instructions.
  • Exposure to unsuitable chemicals, solvents, extreme heat or other damaging conditions.
  • Unauthorised modification or repair.
  • Natural variations in colour, texture or finish.
  • Damage to a third-party watch or component caused by incorrect installation or use.

To submit a warranty claim, contact xndowatch@gmail.com with:

  • Your order number or proof of purchase.
  • A description of the problem.
  • Clear photographs or videos of the product.
  • Any additional information reasonably required to assess the claim.

If a manufacturing defect is confirmed, XNDO may, subject to applicable law:

  • Repair the product.
  • Replace it with the same or an equivalent product.
  • Reduce the price.
  • Issue a partial or full refund.

If the original product or colour is no longer available, a reasonably equivalent replacement may be offered.

This limited warranty is in addition to, and does not replace, any mandatory statutory warranty or consumer rights.

18. Intellectual Property

All content on the website, including the XNDO name and logo, product designs, text, graphics, photographs, videos, layouts and software, is owned by or licensed to XNDO and is protected by intellectual property laws.

You may view and use the website for personal, non-commercial purposes.

Without prior written permission, you may not:

  • Copy or reproduce website content.
  • Modify or distribute product photographs or descriptions.
  • Use XNDO content for commercial purposes.
  • Create derivative works.
  • Remove copyright or trademark notices.
  • Use XNDO trademarks, branding or designs in a way that suggests affiliation or authorisation.

No ownership or intellectual property rights are transferred to you through your use of the website or purchase of a product.

19. Reviews and Customer Content

If you submit a review, photograph, video, comment or other content, you confirm that:

  • You own the content or have permission to submit it.
  • The content is accurate and based on your genuine experience.
  • It does not violate intellectual property, privacy or other third-party rights.
  • It is not unlawful, defamatory, misleading, discriminatory or abusive.
  • It does not contain malicious code or unauthorised advertising.

You retain ownership of your content but grant XNDO a non-exclusive, worldwide, royalty-free licence to display, reproduce, adapt and use it in connection with our website, products and marketing, to the extent permitted by law.

We may moderate, reject or remove content that violates these Terms. Reviews are confirmed as originating from verified purchasers only when expressly marked as verified.

20. Privacy

Personal data is processed in accordance with our Privacy Policy.

By using the website, you acknowledge that Shopify, payment providers, delivery companies and other service providers may process personal data where necessary to operate the store and fulfil orders.

Marketing communications may be unsubscribed from at any time.

21. Third-Party Services and Links

The website may contain links to or integrations with Shopify, payment providers, social media platforms and other third-party services.

These services are subject to their own terms and privacy policies. XNDO does not control and is not responsible for the availability, content or independent practices of third-party websites or services.

A link does not necessarily constitute endorsement by XNDO.

22. Website Availability

We aim to keep the website accurate, secure and available, but we do not guarantee uninterrupted or error-free operation.

We may temporarily suspend or modify the website for:

  • Maintenance.
  • Security updates.
  • Technical problems.
  • Changes to products or services.
  • Legal or operational reasons.

Confirmed orders remain unaffected unless we contact you and provide an appropriate solution.

23. Limitation of Liability

Nothing in these Terms excludes or restricts liability where exclusion is prohibited by law, including liability for:

  • Intentional misconduct or gross negligence.
  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation.
  • Product liability.
  • Deliberately concealed defects.
  • Mandatory consumer rights.

To the maximum extent permitted by law, XNDO is not liable for:

  • Indirect or consequential losses.
  • Loss of profits, revenue, business opportunities or data.
  • Damage caused by incorrect installation or incompatible products.
  • Damage resulting from failure to follow product instructions.
  • Delays or failures caused by third-party carriers, customs or payment providers outside our reasonable control.
  • Unauthorised access caused by a customer's failure to secure their account.

For ordinary negligence, where liability may legally be limited, XNDO is liable only for the breach of an essential contractual obligation and only for reasonably foreseeable and typical damage.

Mandatory consumer and product-liability rights remain unaffected.

24. Events Outside Our Control

XNDO is not responsible for delay or failure to perform caused by events outside our reasonable control, including:

  • Natural disasters.
  • Fire, flood or severe weather.
  • War, terrorism, civil unrest or sanctions.
  • Epidemics or pandemics.
  • Government restrictions.
  • Customs delays.
  • Transport or postal disruption.
  • Labour disputes.
  • Power, network or telecommunications failures.
  • Supply-chain interruptions.

We will take reasonable steps to minimise the effects and inform affected customers where appropriate.

25. Changes to These Terms

We may update these Terms to reflect legal, technical or business changes.

Changes relating to website use take effect when published. The Terms applicable to a purchase are generally those in force when the order is placed, unless a change is required by law or agreed with you.

The latest revision date is shown at the top of this page.

26. Electronic Communications

You agree that order confirmations, invoices, notices and other communications may be provided electronically using the email address supplied by you.

Electronic communications satisfy written-form requirements to the extent permitted by law.

27. Severability and No Waiver

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

Failure by XNDO to enforce a provision does not constitute a waiver of that provision or any other right.

28. Assignment

XNDO may transfer its rights and obligations in connection with a merger, restructuring, sale of business or transfer to an affiliated company, provided that your mandatory rights are not reduced.

You may not transfer your contractual rights or obligations without our prior written consent, except where applicable law permits otherwise.

29. Governing Law and Jurisdiction

These Terms and contracts concluded through the website are governed by the substantive laws of Switzerland, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods ("CISG").

Subject to mandatory consumer law, the courts at the registered office of XandoGlobe GmbH in the Canton of Lucerne, Switzerland, shall have jurisdiction.

If you are a consumer, this choice of law and jurisdiction does not deprive you of mandatory protections granted by the law of your country of habitual residence or any right to bring proceedings before a court that has mandatory jurisdiction.

30. Language

These Terms are originally prepared in English.

Translations may be provided for convenience. Where mandatory law requires otherwise, the applicable local-language version or mandatory local legal provisions will prevail.
